Terms of Service

By creating an account or using Freelance Prime (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization. If you do not agree, do not use the Service.

Freelance Prime is a freelance business management platform offering client management, project tracking, invoicing, task management, obligations tracking, and analytics. Government obligation tracking (e.g. SSS, PhilHealth, Pag-IBIG, BIR) is provided for users based in the Philippines as an informational aid only. It does not file, remit, or pay anything on your behalf, and you remain solely responsible for your own compliance. We may add, change, or discontinue features. Where a change materially reduces what a paid plan includes, we will give you at least 30 days of notice before it takes effect, and you can cancel if you do not want to continue.

You must be at least 18 years old to use the Service. You are responsible for safeguarding your account credentials and for all activity under your account, and you must notify us promptly of any unauthorized use. You agree to provide accurate information and to keep it up to date.

Freelance Prime has a free Core plan and two paid plans: Elite at $12 per month or $108 per year, and Prime at $29 per month or $276 per year, in US dollars. Payments are taken by Lemon Squeezy, which acts as the merchant of record for the transaction and is responsible for your receipt and for any sales tax or VAT on it. Paid plans renew automatically at the same price and interval until they are cancelled, and each plan gives you the features and limits described on our pricing page for as long as it is active. New accounts start on a 7-day Elite trial that asks for no card and does not become a paid plan by itself. We may change our prices. A price change affecting a subscription you already hold takes effect no sooner than 30 days after we notify you at the email address on your account, and you can cancel before it takes effect and will not be charged the new price.

You can cancel a paid plan at any time through the billing portal linked from the Plan and billing card on your profile. Cancelling stops future charges and your plan continues until the end of the period you have already paid for, after which the account moves to the free Core plan. If a renewal payment fails, your plan stays active while the payment provider retries the card, and the subscription expires if those retries do not succeed. A subscription paused through the billing portal is not being billed, and while it is paused the account is treated as being on the free Core plan. When a paid plan ends for any reason, nothing you created is deleted, but recurring invoice schedules are switched off and a published portfolio is unpublished. Refunds, including our 30-day money-back guarantee on a first paid purchase, are covered by our Refund and Cancellation Policy, which forms part of these Terms.

You retain all ownership of the data and content you upload (“Your Content”), including your clients, invoices, and records. You grant Freelance Prime a limited, worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Service to you. We do not sell Your Content. With respect to personal data you upload about third parties (such as your clients), you act as the controller and Freelance Prime acts as your processor, and you are responsible for having a lawful basis to provide that data to us.

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law or regulation; (b) infringe the intellectual property or privacy rights of others; (c) upload malware or attempt to gain unauthorized access to the Service or other accounts; (d) harass, abuse, or harm others; or (e) engage in unauthorized automated extraction, scraping, or harvesting of other users’ or data subjects’ personal information. We may suspend accounts that violate this policy.

Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms. Where we process personal data on your behalf, the data-processing terms described in the Privacy Policy (our roles, safeguards, and subprocessors) apply. We maintain appropriate technical and organizational measures and will notify you of qualifying personal data breaches as described in the Privacy Policy.

The Service, including its software, design, and branding, is and remains the exclusive property of Freelance Prime and its licensors, and is protected by copyright, trademark, and other laws. These Terms grant you no rights to our intellectual property other than the limited right to use the Service.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Obligation calculations, tax figures, and reminders are estimates for guidance only and are not professional, legal, accounting, or tax advice. You should verify all figures and consult a qualified professional before acting.

To the maximum extent permitted by law, Freelance Prime and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including statutory liabilities under the Philippines Data Privacy Act (RA 10173).

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or to comply with law. On termination, we will delete or anonymize your personal data in accordance with the retention and disposal practices in our Privacy Policy, except where retention is required by law. If a paid subscription ends because it was cancelled or because a payment could not be collected, your account is not closed: it moves to the free Core plan and your data stays with you.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. Users in the Philippines may also pursue available administrative remedies, including mediation before the National Privacy Commission (NPC) for data-privacy matters. Where required by your local law, mandatory consumer protections in your jurisdiction continue to apply.

We may update these Terms from time to time and will update the “Last updated” date and, for material changes, provide reasonable notice. Continued use after changes means you accept them. Questions about these Terms can be sent to support@freelanceprime.online.
